Reseller Agreement

To become an official Reseller of StepForth's professional SEO services please fill out the following agreement in its entirety. Thank you.

THE AGREEMENT
This agreement covers the resale of services provided by StepForth Placement Inc. (StepForth). StepForth provides search engine optimization, placement and consultation services.
Vendor Covenants
» StepForth will provide services on the Reseller's behalf.
» At all times StepForth will respect the relationships between the Reseller and the Client
» StepForth will not intentionally subvert the existing relationship between the Reseller and the Client
» StepForth agrees to hold as confidential; all information on the Client, and the details of the relationship between StepForth and the Reseller.
» StepForth offers no search engine ranking or website traffic guarantees.
Reseller Covenants
» The Reseller agrees not to misrepresent StepForth's services or to make any guarantee of top search engine rankings.
» In the event the Reseller handles the payment of StepForth's fees:
› The Reseller agrees to honor the fee schedule and requirements outlined in each contract.
› All payments must be made within fifteen calendar days of receiving the invoice, or services may be withheld
Reseller Arrangement
From the options below please choose the reseller relationship that best suits your needs:
  • The Reseller agrees to direct all SEO questions to a StepForth representative who will use your company name when replying to the client or will reply to the Reseller by Email.
  • StepForth will not commence promotions of any kind until the standard 50% service deposit is received.
    {For contracts above $15,000.00, StepForth may accept a 25% deposit - this will be on a case-by-case basis}
Commission Terms for Value-Added Resellers
Commissions are not included for Value-Added Resellers. It is expected that a Value-Added Reseller will be up-selling StepForth’s services. There are, however, occasionally exceptions to this rule. Please do not hesitate to contact us if you wish to discuss a specific situation with a StepForth staff member.
The Reseller will pass this client directly to StepForth, which will provide SEO services.

Commission Terms for Direct-Sale Resellers
StepForth agrees to pay the applicable commission (note Reseller service chart) to the Reseller in percentage installments in accordance with the fees collected from the said Client (i.e. upon total payment the Reseller receives total commission).

  • Currency & Expected Receipt of Payment
    Commissions will be paid within 15 days of receiving the Client payment in the same currency StepForth receives from the Client.

  • Method of Payment
    Preferred mode of commission payment is PayPal, however, payment by cheque within Canada is another option. All International residents will require a PayPal account to receive their commissions or StepForth will send a cheque in CDN funds matching the US equivalent of the commission using that day’s exchange rate (should the Client pay in USD). StepForth is not responsible for discrepancies of currency exchange totaling less than 5% of the total commission.

  • Monthly Maintenance
    Monthly maintenance is not commissionable unless an annual contract is signed. Maintenance commissions may only be paid for up to 1 calendar year. Any payments made after the calendar year or without an annual contract are made at the discretion of StepForth and may be considered bonuses.

Note: All commissions are subject to change as service prices fluctuate; however, such changes will not affect the applicable commission for active contracts.

StepForth Approved Ammendments
The following field is for ammendments to this Reseller Agreement that have been approved by StepForth via email beforehand. Please copy and paste the ammendment as received from StepForth into the following notes field. Note that ammendments that have not been approved by StepForth (proven by producing the official ammendment email) will not be binding on either party.

Termination of Agreement
StepForth reserves the right to cancel this Reseller Agreement with 30 days notice or immediately should the terms of this agreement be violated. Termination of this Reseller Agreement by the Reseller must be made in writing via email or post and will be acknowledged by StepForth by email within 24 business hours of reception. All applicable notes, digital files, style sheets, and other materials supplied by StepForth must be returned or destroyed within 7 days of termination.
Annual Renewal
This agreement is valid for one calendar year from the date of acceptance by StepForth.
Affirmation
This Agreement shall be construed and interpreted in accordance with, and governed by laws of the Province of British Columbia, Canada. For the purpose of any action or proceeding related to this agreement, both StepForth and the Reseller hereby irrevocably consent to the exclusive jurisdiction of any court having subject matter jurisdiction in Province of British Columbia, Canada.
Completion
Due to the nature of the SEO industry, pricing, commissions, and other terms of agreement may be changed, revised or updated. When such changes occur StepForth will notify the effected Reseller(s). Upon notification of said changes, the Reseller has the option to cancel this agreement by email or written notice within 15 days of the received changes. Lack of an email or written notice from the Reseller within the 15 days will be considered a ratification of such changes. All such notifications will be sent via the direct email address included within this form.
